The general conditions
1. Service Overview
The IT Support service is offered by NUKLEAR SARL, with a capital of 500,000 Ariary, headquartered at Immeuble Rayim, Rue Ravoninahitriniarivo, Ankorondrano, Antananarivo 101, Madagascar, registered with the Antananarivo RCS under n°2022 B 01502, represented by Mr. Thibaud RICHARD, General Manager.
2. Purpose
IT Support provides dedicated technical, IT, or administrative agents working remotely from NUKLEAR’s offices to assist companies in their daily activities.
3. Service Operation
Services are delivered remotely, Monday to Friday from 7:00 to 20:00 (GMT+3), excluding Malagasy public holidays. Evening, weekend, or holiday interventions may be offered with a 50% surcharge. NUKLEAR makes every effort to ensure service continuity and temporary replacement of staff in case of prolonged absence.
4. Pricing and Billing
Prices are presented in euros (€) and vary according to:
skill level (Level 1 – Help Desk / Level 2 – Technical / Expert)
working time (full-time or part-time)
commitment duration (1, 6, or 12 months)
A security deposit equivalent to one month of service is required at the start of the mission. This deposit is retained for the entire duration of the collaboration and may be deducted, in whole or in part, from the final invoices or any amount remaining due in case of unpaid balances. Invoices are issued at the beginning of the month for payment within 30 days. Any late payment incurs a 5% monthly penalty, without prior notice. In case of a payment delay exceeding 15 days, NUKLEAR reserves the right to temporarily suspend services until all outstanding amounts are fully settled.
5. Termination
1-month subscription: 5 business days’ notice
6-month subscription: 1-month notice
12-month subscription: 2-month notice
Any early termination results in billing for the remaining balance due until the end of the commitment period.
6. Tools and Resources
Tools required for the mission are provided or financed by the client. Otherwise, NUKLEAR uses free tools without additional licensing costs.
7. Confidentiality and Data
NUKLEAR acts as a GDPR technical subcontractor and commits to preserving the confidentiality of information exchanged during and up to 2 years after the end of the contract. Unless opposed in writing, NUKLEAR is authorized to mention the client’s name, logo, and achievements in its communication materials.
8. Intellectual Property
All elements, documents, tools, scripts, or models produced by NUKLEAR remain its exclusive intellectual property unless otherwise agreed in writing. The client has a limited right of use for internal purposes and for the duration of the service.
9. Non-Solicitation
The client is prohibited from recruiting or soliciting any NUKLEAR employee who worked for them, for a period of 24 months after the end of the contract. Any violation of this clause will result in compensation equivalent to 24 months of service.
10. Liability
NUKLEAR’s liability is limited to the monthly amount of the concerned service. No compensation will be due for data loss, indirect damages, or lost profits.
11. Force Majeure
No party may be held responsible for a failure due to a force majeure event (natural disaster, strike, outage, war, etc.). If the situation lasts more than 60 days, the contract may be terminated without compensation.
12. Applicable Law and Jurisdiction
These terms are governed by Malagasy law. Any dispute will be submitted to the exclusive jurisdiction of the Antananarivo Commercial Court, after an attempt at amicable settlement.
